NETTLES ISLAND YACHT CLUB CONSTITUTION & BYLAWS

ARTICLE I NAME AND LOCATION: This association shall be known as the Nettles Island Yacht Club. Its anchorage shall be Nettles Island and be directed by the Commodore and Board of Directors.
ARTICLE II OBJECT: The object of the club shall be to encourage and promote the sport of yachting, good fellowship, and the science of seamanship and navigation, and to provide and maintain a suitable clubhouse and anchorage for the use of its members.
ARTICLE III BURGEE: The burgee of the Club is a triangle 12” by 16” – white background with a blue border. The letters NIYC shall be in blue and tapered to the outline of the burgee
ARTICLE IV ORGANIZATION: The Club shall be organized under a Board of Directors of two to five members , one being the last previous commodore and the others preferably previous commodores, and the Club shall have Officers consisting of a Commodore, Vice Commodore, Rear Commodore, Fleet Captains (Boat and Kayak), Secretary and Treasurer. ARTICLE V OFFICERS: The Officers of the Club shall be as follows, and shall function as the Executive Committee:
Commodore, Vice Commodore, Rear Commodore, Fleet Captains, Secretary and Treasurer. It is preferable, but not essential, that the Boat Fleet Captain be a yacht owner.
ARTICLE VI ELECTIONS:
Section 1. The Officers shall be elected at the out of commission meeting and shall hold office for two years until the adjournment of the out of commission meeting, or until their successors are duly elected. All Officers must be members in good standing. A nominating Committee of three (3) members in good standing shall be appointed by the Commodore. The Committee shall make recommendations for Officers to be placed on the ballot at the next out of commission meeting.
Section 2. At the out of commission meeting, there shall also be elected 1 or more Directors not to exceed five, whose term of office shall be for two (2) years or until the election of their successors. The immediate Past Commodore shall be a Director, and his term shall be for two (2) years as well.
Section 3. All elections shall be by ballot or show of hands, and a majority of votes cast shall be necessary to an election. Each member whose dues are paid up at or prior to the Annual
1 of 3 Meeting, shall be entitled to one vote at the Annual Election and for all other business. Should any election ballot not result in a majority, a second ballot for the two who received the highest number of votes initially will be cast to determine a winner. The tenure of the Officers shall be for two (2) years, to expire at the end of the next out of commission Meeting, or until the election of their successors. Any Officer may run for re-election for as long as he or she receives a majority of the voting members.
Section 4. In the case of Officers, vacancies may be filled at any meeting provided the members are notified of the election at least one (1) week in advance. The Commodore may appoint any office that becomes vacant for any reason until the next election.
Section 5. A minimum of the commodore or his appointee and two (2) officers and/or directors are required for a quarum.
Section 6. Any Director may be removed from office either with or without cause at any time by a vote of two thirds of the members at any special meeting called for that purpose. Section 7. If a vacancy occurs on the Board of Directors, a majority of the remaining Directors present at a meeting duly called for that purpose may elect a Director to fill such vacancy until the next annual meeting of the organization.
BYLAWS Article 1 MEMBERSHIP
• Maximum membership to be determined by the board of directors and officers.
Membership must be paid prior to the first meeting.
• New potential members must fill out an application form and be sponsored by a current member. New members will be elected at an officer/director meeting called by the commodore. At least one director and commodore vote and a majority of the officers are required.
• Applicants that are not accepted can reapply after three years.
• Waiting list order. Officer sponsored applicants first, otherwise by date.
Article 2 DUTIES OF DIRECTORS AND OFFICERS Directors
• Responsible for the management of club property and funds
• Advisors to the Commodore
• A minimum of 1 and maximum of 5 directors Commodore
• Preside over meetings
• Create meeting agendas
• Provide direction for all officers
• Ex-officio member of all committees (does not have to attend all committee meetings) Vice Commodore
• Assist the Commodore and officiate in his absence Rear Commodore

• Officiate in the absence of the Commodore and Vice Commodore
Fleet Captain(s)
• Boats – organize and recommend boat outings for all members with boats.
Individual boat owners at their discretion can invite non boat owners to attend
• Kayaks – organize and reccommend kayak outings
Secretary
• Keep minutes of all club meetings
• Read or post previous meeting reports at each meeting
Treasurer
• Receive, disburse and be the custodian of all monies of the club.
• Maintain records of all monies received and expended
• Financial report at each meeting
• Collect dues
